| SOFTWARE
2000 INTERNATIONAL LIMITED ("SOFTWARE 2000") OWNS OR IS
OTHERWISE ENTITLED TO GRANT LICENSES IN RESPECT OF THIS SOFTWARE
("THE SOFTWARE). YOU, THE END USER, MAY NOT LOAD THE SOFTWARE
INTO ANY COMPUTER OR COPY IT WITHOUT THE LICENSE OF SOFTWARE 2000. |

| SOFTWARE
2000 OFFERS YOU A NON-EXCLUSIVE LICENSE ON THE TERMS OF THIS AGREEMENT. |
| |
| Grant
of License |
|
| The
Software is licensed for use by you on a single computer. You are
not permitted to use the Software on any computer or system which
permits electronic access to it by more than one user unless specifically
allowed by a supplemental license. You are not permitted to rent
or lease the Software or to transfer your rights under this license
to a third party. |
| |
|
| Acceptance |
|
| Loading
the Software into a computer signifies your acceptance of the terms
of this Agreement. |
| |
|
| Duration |
|
| This
license is effective until terminated. The license will terminate
where you fail to comply with the terms of this Agreement. Upon
termination, you agree to destroy all copies of the Software and
its documentation. |
| |
|
| The
license will also terminate where you choose to terminate it by
destroying the Software and its documentation together with all
copies. |
| |
|
| Ownership
of Software |
| You
own only the magnetic media on which the Software has been delivered.
It is an express condition of this Agreement that Software 2000
and/or its suppliers retains the title and ownership of the Software
recorded on the media on which it has been supplied together with
all subsequent copies of the Software. |
| |
|
| Copying |
|
| The
Software and its documentation are the subject of Copyright. |
| |
|
| You
may not make any copies of the Software except such copies as are
necessary for licensed use and one copy for operational security.
Any such copies are subject to the conditions of this Agreement.
Documentation may not be copied for any purpose without Software
2000's consent. |

|
| You
may not nor cause others to modify, adapt, merge, translate, reverse
engineer, decompile, disassemble or create derivative works based
on the whole or any part of the Software or its associated documentation. |
| |
|
| You
may be held legally responsible for any copyright infringement,
unauthorized transfer, reproduction or use of the Software or its
documentation. |
| |
|
| Warranty
|
| The
Software is supplied "as is" without warranty of any kind.
Software 2000 does not warrant that the Software will meet your
requirements or that the operation of the Software will be uninterrupted
or error-free or that defects in the Software will be corrected.
You shall load and use the Software at your own risk and in no event
shall Software 2000 be liable for any loss, damage or expense (including
indirect and consequential loss or damage) of any nature (except
personal injury or death resulting from Software 2000's negligence)
howsoever arising and including but not limited to any loss resulting
directly or indirectly from the use of the Software. |

| The
express terms of this Agreement are in lieu of all warranties, conditions,
undertakings, terms and obligations implied by statute, common law,
trade usage, course of dealing or otherwise all of which are hereby
excluded to the fullest extent permitted by law. |

| Law |
| If
any provision or portion of this Agreement shall be found to be
illegal, invalid or unenforceable, the remaining provisions or portions
shall remain in full force and effect. This Agreement shall be governed
by English Law and is subject to the jurisdiction of the English
courts. |
